Terms of Service

1. Acceptance of Terms

By accessing or using Restreamify ("the Service"), you agree to be bound by these Terms of Service. If you are using the Service on behalf of a business, you represent that you have authority to bind that business. If you do not agree, do not use the Service.

2. Description of Service

Restreamify provides managed restream infrastructure, dedicated server hosting, and related professional services for streaming media. We provide infrastructure, not content. You are solely responsible for the content you transmit through our infrastructure.

3. Customer Responsibilities

You agree that you:

• Have all necessary rights, licenses, and permissions for any content you transmit through the Service
• Will comply with all applicable laws and regulations in your jurisdiction and the jurisdictions of your end users
• Will not use the Service to distribute content that infringes copyright, trademark, or other intellectual property rights
• Will not use the Service for any unlawful, harmful, or abusive purpose
• Will not attempt to circumvent our security, abuse our infrastructure, or interfere with other customers' services
• Are responsible for maintaining the confidentiality of your account credentials

4. Acceptable Use

The following activities are strictly prohibited and will result in immediate suspension:

• Distribution of child sexual abuse material (CSAM) or any content sexualizing minors
• Distribution of content that incites violence, terrorism, or hate against protected groups
• Use of the Service to launch attacks against third-party systems
• Reverse engineering, copying, or attempting to extract source code from our infrastructure
• Reselling our Service in violation of our reseller agreement (where applicable)
• Any activity that violates the rights of third parties or applicable law

5. Payment, Fees, and Refunds

• All fees are billed in advance in US Dollars unless otherwise agreed
• Subscriptions auto-renew unless cancelled before the renewal date
• Setup fees and trial conversions are non-refundable
• Monthly subscriptions: pro-rated refunds may be issued at our discretion within the first 7 days for unused service
• Annual subscriptions: refunds available within 14 days minus any usage and setup fees
• No refunds for services suspended due to terms violations

6. Service Availability & SLA

We target 99.9% monthly uptime for restream service and 99.5% for dedicated servers, excluding scheduled maintenance and force majeure events. SLA-eligible plans (Business and Enterprise) include service credits for downtime exceeding the SLA threshold, calculated as a percentage of the monthly fee.

Downtime caused by customer-provided sources, customer misconfiguration, or third-party services outside our control does not count toward the SLA.

7. Suspension & Termination

We may suspend or terminate your account, with or without notice, if:

• You materially breach these Terms
• We receive valid legal notice (DMCA, court order, law enforcement request)
• Your use creates risk to our infrastructure or other customers
• Payment fails and is not resolved within 7 days of notice

You may terminate your account at any time. Upon termination, you will lose access to the Service and your data subject to our standard retention policy.

8. Intellectual Property

The Restreamify name, logo, software, documentation, and all related materials are our property. You receive a limited, non-exclusive, non-transferable license to use the Service for its intended purpose. Customer content remains the property of the customer; you grant us a limited license to transmit and process it solely to deliver the Service.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT GUARANTEE UNINTERRUPTED OR ERROR-FREE OPERATION.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY ARISING OUT OF OR RELATED TO THE SERVICE, REGARDLESS OF LEGAL THEORY, SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO US IN THE THREE MONTHS PRECEDING THE CLAIM. WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION.

11. Indemnification

You agree to indemnify and hold harmless Restreamify, its operators, employees, and partners from any claims, damages, or expenses (including reasonable legal fees) arising from your content, your use of the Service, your breach of these Terms, or your violation of any third-party rights or applicable laws.

12. DMCA & Copyright Compliance

We respond to valid DMCA takedown notices and similar copyright claims promptly. See our DMCA Policy for the procedure to submit a notice. Repeat infringers will have their accounts terminated.

13. Changes to Terms

We may update these Terms periodically. Material changes will be communicated via email or website notice with at least 30 days' notice. Continued use of the Service after the effective date of revised Terms constitutes acceptance.

14. Governing Law & Dispute Resolution

These Terms are governed by the laws of the jurisdiction in which Restreamify operates, without regard to conflict-of-laws principles. Any disputes shall first be attempted to be resolved through good-faith negotiation. If unresolved, disputes shall be settled by binding arbitration where applicable, or in courts of competent jurisdiction.
